agreements between Westmont Lead GmbH, Krefeld (hereinafter referred to as \u201cWESTMONT\u201d) and its cooperation partners (hereinafter referred to as the \u201cClient\u201d).<\/p><h4>(2) Subject Matter of the Agreement<\/h4><ul><li>Planning, execution, and optimization of digital marketing campaigns<\/li><li>Structured pre-qualification of incoming inquiries<\/li><li>Exclusive distribution of qualified leads<\/li><\/ul><h4>(3) Limitation of Services<\/h4><p>WESTMONT does not provide investment or financial advice and does not guarantee any specific economic success.<\/p><hr \/><h3>\u00a7 2 Lead Definition and Exclusivity<\/h3><h4>(1) Qualified Lead<\/h4><ul><li>Legal age<\/li><li>Self-initiated contact inquiry<\/li><li>Interest in real estate or investment opportunities<\/li><li>Reachable contact information<\/li><\/ul><h4>(2) Exclusivity<\/h4><p>The leads are transferred exclusively and only once to the Client.<\/p><h4>(3) Response Obligation<\/h4><p>In the event of repeated failure to respond within 48 hours, WESTMONT is entitled to make adjustments or suspend services.<\/p><hr \/><h3>\u00a7 3 Lead Usage, Sales Process Compliance and Non-Circumvention<\/h3><p>The processing of leads may only take place through the systems specified by WESTMONT.<\/p><ul><li>No processing outside of WESTMONT<\/li><li>No involvement of third parties<\/li><li>Regardless of delays or interruption of contact<\/li><\/ul><hr \/><h3>\u00a7 4 Contractual Penalty and Damages<\/h3><p><strong>Contractual Penalty:<\/strong> \u20ac25,000 per violation.<\/p><ul><li>Failure to submit a lead<\/li><li>Closing transactions outside of WESTMONT structures<\/li><li>Involvement of third parties<\/li><\/ul><hr \/><h3>\u00a7 5 Use of Leads by WESTMONT<\/h3><ul><li>Own marketing and sales purposes<\/li><li>Contact via email, telephone, or newsletter<\/li><li>Independent commercial right of use<\/li><\/ul><hr \/><h3>\u00a7 6 Fees and Payment Terms<\/h3><ul><li>Client advertising budget<\/li><li>30% service fee<\/li><li>Payment in advance<\/li><li>Prices plus applicable statutory VAT<\/li><\/ul><hr \/><h3>\u00a7 7 Client Obligations<\/h3><ul><li>Professional lead management<\/li><li>Compliance with legal requirements<\/li><li>Truthful status reporting<\/li><\/ul><hr \/><h3>\u00a7 8 Intellectual Property and Co-Branding<\/h3><p>All rights remain with WESTMONT. Co-branding is agreed.<\/p><hr \/><h3>\u00a7 9 Contract Term and Termination<\/h3><p>Open-ended term with one month&#8217;s notice effective at the end of each calendar month.<\/p><hr \/><h3>\u00a7 10 Liability<\/h3><p>No guarantee is provided regarding lead volume or economic success.<\/p><hr \/><h3>\u00a7 11 Data Protection<\/h3><p>Both parties undertake to comply with the GDPR.<\/p><hr \/><h3>\u00a7 12 Confidentiality<\/h3><p>All information must be treated as strictly confidential.<\/p><hr \/><h3>\u00a7 13 Non-Solicitation<\/h3><p>Solicitation of employees or service providers is prohibited.<\/p><hr \/><h3>\u00a7 14 Final Provisions<\/h3><p>The place of jurisdiction is Krefeld.
